Core Idea

Liquidated damages are a monetary measure agreed in a contract before a specified breach occurs. The term may state a sum or a formula, such as a daily rate for qualifying delay. It is not automatically valid because it bears the label “liquidated damages.” U.S. UCC §2-718(1) permits such terms in goods contracts only at an amount reasonable in light of anticipated or actual harm, proof difficulty and availability of another adequate remedy; an unreasonably large term is void as a penalty within that provision's scope. English law's Cavendish/ParkingEye penalty analysis instead distinguishes secondary breach obligations and asks whether their detriment is out of all proportion to a legitimate interest. Scope of Application

The structure requires contracting parties, an agreed performance duty, an identified breach trigger, and a pre-set monetary sum or computable rate. A New York goods-sale contract in Equitable Lumber fixed attorney collection fees at 30% of recovery after buyer default; the Court of Appeals remitted for fact-finding on reasonableness and possible penalty status rather than finally approving or invalidating the figure.[^ref-5c09e50113c9]

An English-law software contract in Triple Point set a daily percentage for supplier-caused delivery delay. The UK Supreme Court treated the clause as liquidated damages even though its wording called the payment a “penalty”; the parties did not dispute that classification. It interpreted accrual and termination under the actual contract. This was not an application of UCC Article 2 to software services.[^ref-7909d06e630a]

Clarity

Ask separately whether the sum was fixed in advance, what breach activates it, what time and losses it covers, and whether local law permits enforcement. A pre-set figure does not resolve all questions about proof of breach, cap, termination or actual wording. Penal Damages is a neighboring adverse classification, not a synonym for all pre-agreed breach amounts.[ref-5c09e50113c9][ref-7909d06e630a]

The ParkingEye £85 charge is a boundary example, not a simple estimate of lost money. The UK court upheld it for legitimate interests beyond direct compensation. Likewise, the New York court's UCC inquiry cannot be replaced by an English legitimate-interest slogan.[ref-4111235febec][ref-5c09e50113c9]

Manages Complexity

A negotiated amount or rate can reduce disputes about measuring a covered loss after the breach. In Triple Point, the court described this predictability as the purpose of a liquidated-damages term. But advance fixing trades that certainty for a possible mismatch with actual loss and remains subject to interpretation and penalty limits. Abstract Reasoning

Start from the agreement, not the label. Identify the duty, trigger, pre-set measure and governing jurisdiction. Apply the local validity rule and the clause's wording before calculating an amount. A clause may stipulate a rate but fail under penalty limits, or be valid yet apply only to certain periods of delay. Knowledge Transfer
