Role Separation and Decision Transfer¶
Structural reassignment — instantiates Conflict-of-Interest Mitigation
Reassigns duties, reporting lines, or approval rights so an incompatible pair of loyalties no longer sits inside one role — transferring each excluded right to a competent, independent alternate.
Some conflicts are not about what a person owns or knows but about the job they hold: two duties that pull against each other have been packed into a single role, so whoever fills it is structurally divided. Role Separation and Decision Transfer fixes that by redesigning the role itself — splitting the incompatible duties apart, moving one reporting line, or reassigning an approval right — and handing each removed responsibility to a named, competent, independent alternate. Its defining move is structural: it changes the org chart so the conflict has nowhere to sit, rather than repeatedly stepping a person aside case by case. Crucially, every right it strips must land somewhere — an unowned decision is a failure mode, not a success — so the mechanism is as much about transfer and continuity as about separation.
Example¶
At a large technology platform, the team that evaluates whether a new feature is safe to launch reports up to the same vice president who owns hitting the launch date. The safety reviewers are structurally conflicted: the person judging their rigor is the person rewarded for shipping. No amount of per-decision recusal fixes this, because the conflict is in the reporting line itself. So the org is redesigned. The safety-evaluation function is lifted out from under the product VP and re-parented to an independent risk office that reports to the general counsel, with its own budget and headcount. The specific right that mattered — the authority to block or clear a launch — is transferred explicitly to the risk office's director, who has the competence and independence to exercise it and cannot be overruled by the launch owner. A handoff plan names who now holds each duty, and a review date checks that the separation held.
The mechanism's value is that it removed the divided loyalty at the source: the safety call no longer sits under the person it could compromise, and the transferred authority has a real, resourced owner rather than becoming a decision no one is accountable for.
How it works¶
- Define the role and its incompatible duties. Name what the role owes and to whom, and identify the two loyalties that cannot coexist inside it.
- Redesign the structure. Split the duties, re-parent a reporting line, or reassign an approval right so the incompatibility is dissolved rather than managed.
- Transfer each right to a named alternate. Every removed decision, recommendation, or approval right lands with a competent, independent, resourced substitute — no orphaned decisions.
- Prohibit shadow direction and set a review date. The prior holder cannot quietly steer the alternate, and the new arrangement is checked for effectiveness.
Tuning parameters¶
- Separation depth — from reassigning one approval right to fully re-parenting a function. Deeper separation removes more conflict but costs more disruption and coordination.
- Alternate competence bar — how much expertise, authority, and independence the substitute must have. Set too low and the transfer is nominal; too high and no qualified alternate exists.
- Reversibility — whether the reassignment is temporary (for one matter) or permanent (a standing redesign). Permanent fixes root causes; temporary ones preserve flexibility but can quietly lapse.
- Shadow-influence controls — how strictly the prior holder is barred from briefing or pressuring the alternate. Weak controls let the conflict persist through informal channels.
When it helps, and when it misleads¶
Its strength is that it addresses conflicts embedded in structure — a dual role, a compromised reporting line — that episodic controls can only patch. When the same "recuse yourself" keeps recurring for one role, redesigning the role is the durable answer.
Its central failure mode is the title-only redesign: the box moves on the org chart but the same person keeps de facto control, the "independent" alternate is unfunded or outranked, or the prior holder keeps directing the work informally — the reassignment changes the name on the decision, not the influence.[n1] A related failure is the decision vacuum, where a right is stripped but never competently rehomed. The classic misuse is announcing a reorganization that preserves every real reporting relationship underneath. The guarding discipline is to verify that authority, budget, and information actually moved, that the alternate can act without shadow instruction, and that no stripped right is left unowned — separation is only real when the transfer is.
